Terms & Condition
For Use of Distinct Infotech Software Products
These Terms and Conditions (“Terms”) govern the use of software products developed by Distinct Infotech Solutions, a UAE-registered technology company. By subscribing to, installing, or using any of our software products, you agree to be bound by these Terms.
1. Products Covered
These Terms apply to the following proprietary software platforms:
- Remittance and Financial Solutions
- Casmex – Core Application System for Money Exchange Cos.
- Mobi Remit – Remittance with Mobile App
- DigiRemit – Remittance through KIOSK/ TAB/ WEB
- Smart Remit – MTO / MSP Core Application platform
- Smart Inpay – Inward Remittance system
Regulatory and Compliance Tools
- WPS – Wage Protection System compliance solution for the UAE
- iShield – Anti Money Laundering System , Financial security, fraud detection, and compliance monitoring
Business & Customer Engagement Tools
- BizzLink – Corporate Remittance & WPS management software for Businesses.
- Loyalty Pro – Loyalty rewards and customer engagement management software
2. Definitions
- Company: Distinct Infotech Solutions
- Customer/User: The entity or individual who purchases or subscribes to our products
- Software/Product: Any of the listed Distinct Infotech software platforms
- License: Right to use the software in accordance with these Terms
3. License Grant
You are granted a non-exclusive, non-transferable license to use the licensed product for internal business operations.
You must not sublicense, redistribute, reverse engineer, or modify the software without written consent.
Product-specific licensing terms (e.g., number of users, limits, modules) will be outlined in your order form or agreement.
4. Use and Compliance
- Products such as Casmex, Smart Remit, Remittance, Mobi Remit, DigiRemit, and Smart Inpay are intended for use by licensed financial institutions or partners only.
- The Company does not hold or process funds, and does not operate as a licensed money service provider.
- You are solely responsible for compliance with the UAE Central Bank, AML/KYC regulations, WPS, or other governing bodies.
5. Data Privacy and Protection
- We comply with UAE PDPL.
- All data is securely stored, encrypted, and processed only to deliver product functionality.
- Clients act as data controllers; Distinct Infotech acts as a data processor.
- For Loyalty Pro and other customer-facing tools, you are responsible for obtaining user consent and managing personal data lawfully.
6. Product Updates & Support
- Software updates and security patches are provided regularly.
- Support includes:
- Email/ticket-based support during business hours (9:00 AM – 6:00 PM UAE Time)
- Bug fixes and technical troubleshooting
- Additional support or managed services may require a custom SLA agreement.
7. SLA (Enterprise Clients)
For enterprise clients, we offer Service Level Agreements including:
- 99.5% uptime commitment
- Critical issues response: within 2 hours
- Major issues: within 4 hours
- Minor issues: within 1 business day
- Support windows: Monday–Friday, 9:00 AM to 6:00 PM (GST)
8. Confidentiality & NDA
- Both parties agree to protect confidential information shared during onboarding, use, or support.
- We will sign a Non-Disclosure Agreement (NDA) upon request.
9. Intellectual Property
- All software products, source code, designs, trademarks, and documentation are owned by Distinct Infotech Solutions.
- You may not copy, decompile, or use the software outside the scope of the licensed agreement.
10. Payment Terms
- Payment structure is as per your license agreement (monthly, annually, or lifetime).
- Invoices are payable in USD or AED within 14 days.
- Failure to pay may result in suspension of access after a 7-day grace period.
11. Refund Policy
- Digital products are non-refundable once license access or setup has been granted.
- For critical issues caused by us, partial credit may be offered at our discretion.
- Annual subscriptions terminated early are non-refundable unless otherwise agreed.
12. Termination
- Either party may terminate with 60 days’ written notice.
- Upon termination:
- Customer data may be exported upon request within 15 days
- Access to the platform will be revoked
- Outstanding payments remain due
13. Security & Access
- Users are responsible for secure access, passwords, and credentials.
- In the event of a security breach, notify our support team immediately.
- We use secure cloud infrastructure, access controls, and routine audits.
14. Third-Party Dependencies
- Some platforms (e.g., Banks/ MTO, payment gateways, SMS/OTP, KYC providers) may involve third-party integrations.
- We are not liable for downtime or limitations caused by these external services.
15. Limitation of Liability
- Distinct Infotech Solutions is not responsible for:
- Loss of business revenue
- Regulatory fines
- Data loss due to customer-side issues
- Maximum liability is limited to 20% of the amount paid by the client.
16. Force Majeure
- We are not liable for performance failure due to events beyond our control, including:
- Natural disasters
- Internet or cloud service disruptions
- Regulatory restrictions
- Cyberattacks or force majeure events
17. Changes to Terms
- These Terms may be updated periodically.
- You will be notified of material changes. Continued use of the software implies agreement to the updated terms.
18. Governing Law
- These Terms shall be governed by the laws of the United Arab Emirates.
- Disputes will be subject to the jurisdiction of the courts of Dubai.
19. On-Premises Installation
19.1 Installation & Setup
- Distinct Infotech will assist with initial deployment of the software at the customer’s designated infrastructure (physical or cloud-based).
- The client must ensure that all hardware, software, operating systems, and network configurations meet the minimum requirements as specified.
- All installation activities will be performed during mutually agreed working hours unless otherwise specified.
19.2 Infrastructure Responsibility
- The client is fully responsible for managing and maintaining their internal IT environment including:
- Servers
- Operating system updates
- Firewall and network security
- Database backups (unless a backup module is provided)
19.3 Licensing Control
- On-premises licenses are node-locked or activated via license keys and are tied to specific hardware or environments.
- Unauthorized duplication, movement, or sharing of software binaries is strictly prohibited.
19.4 Updates and Upgrades
- Software updates (patches, new features, bug fixes) will be delivered as per a defined schedule or upon request.
- The customer is responsible for applying updates in accordance with our documentation.
- Critical security patches will be shared with urgency and may require client action.
19.5 Support Scope
- Remote support will be provided for troubleshooting and guiding through configuration issues.
- Distinct Infotech is not liable for system downtimes caused by:
- Customer infrastructure failure
- Unauthorized modifications
- Conflicting third-party software
- On-site support (if required) may incur additional charges unless covered in a support agreement.
19.6 Data Responsibility
- All customer data processed and stored via on-premises software remains under full control and custody of the client.
- Distinct Infotech does not have access to the live data unless explicitly provided for support or debugging.
- Clients are responsible for implementing appropriate data protection and disaster recovery measures.
19.7 Security & Compliance
- While the software is built with best-practice security controls, overall compliance with data protection regulations (such as UAE PDPL, Central Bank directives, etc.) remains the customer’s responsibility.
- Any additional compliance-specific configuration must be communicated prior to installation.
20. Transition to Cloud Hosting (Optional Clause)
- If the customer wishes to migrate from on-premises to Distinct Infotech’s cloud environment, a separate migration plan, data transfer protocol, and service-level agreement will be required.
